These Terms of Service (“TOS”) outline the agreement between Stellaractive (“we,” “us,” “our”) and you (“client,” “you”) regarding our website development, design, digital marketing, SEO, social media management, and Website Care services, as well as the use of the Stellaractive website. By engaging with Stellaractive, you agree to the following terms:
Scope of Services
Stellaractive offers a range of digital services, including but not limited to:
- Website design and development
- E-commerce development
- Website hosting and security
- Website Care Plan (maintenance, updates, backups, and security)
- Search engine optimization (SEO)
- Digital marketing, including paid advertising and content marketing
- Social media management
- Branding and graphic design
- Website support and troubleshooting
Each service may be subject to a separate agreement or statement of work outlining specific deliverables, pricing, and timelines.
Client Responsibilities
To maintain website security, performance, and stability, you agree to:
- Keep your project on track: If a project is delayed due to a lack of client input, feedback, or content for more than 30 days, Stellaractive reserves the right to pause the project and bill for time spent. A reactivation fee may apply, and timelines may need to be rescheduled based on current availability.
- Provide timely approvals and content: Delays in content delivery, feedback, or approvals may affect project timelines.
- Use only approved plugins: For hosted and managed websites, all plugin installations must be handled by Stellaractive to prevent conflicts and security risks.
- Keep login credentials secure: You are responsible for safeguarding your website login details.
- Request updates through official channels: All support requests must be submitted via support@stellaractive.com for proper tracking and response. Requests submitted through other methods—such as phone calls, text messages, or personal emails—may experience delays or be missed entirely.
Confidentiality & Conduct
- Stellaractive agrees to treat your business information, marketing strategies, credentials, and proprietary content as confidential. We will not share this information with third parties without your consent, unless required by law. Likewise, we ask that clients treat Stellaractive’s proprietary tools, internal processes, and team communications as confidential.
Payment & Billing
- Payments for projects, retainers, and recurring services are due within 15 days of the date an invoice is issued, unless otherwise specified.
- Payments can be made via automated credit card billing (3% convenience fee applies) or manual check/bank transfer for eligible plans.
- If an invoice remains unpaid for 45 days, access to your website may be suspended. If left unpaid after 90 days, your website may be removed from Stellaractive’s server. Additional charges will apply to restore access or the website, and payment terms may be impacted.
- For project-based work, a non-refundable deposit may be required before work begins. Milestone payments may also be required depending on the scope of work.
Website Usage & Restrictions
By accessing or using the Stellaractive website, Client Portal, or any related digital systems operated by Stellaractive, you agree to:
- Follow all relevant laws and regulations.
- Not attempt to access systems or information you’re not authorized to use.
- Avoid using the website for any unlawful, harmful, or misleading activities.
- Avoid using any Stellaractive platform in ways that are deceptive, harmful, or unlawful.
- Refrain from introducing anything that could interfere with system functionality, like malicious software or automated tools.
If these expectations aren’t met, Stellaractive may limit or revoke access to its systems to protect security and performance.
Website Support & Additional Services
- Standard support: $150 per hour, billed in 15-minute increments. Most requests are completed within 1–2 business days.
- Emergency support: $225 per hour, billed in one-hour increments. This applies to critical issues requiring immediate attention, or work outside of normal business hours.
- When a support ticket is submitted, we assume authorization for up to one hour of work. If the issue requires additional time, we will seek approval before proceeding further.
SEO, Digital Marketing & Social Media Terms
- SEO is a long-term process: While we follow best practices, we do not guarantee specific search engine rankings or results.
- Paid advertising budgets: For digital advertising campaigns, ad spend is typically billed separately and paid directly to the advertising platform (Google, Facebook, etc.), which helps maintain transparency. In cases where Stellaractive pays these fees on behalf of the client, a 10% markup will be applied to cover processing and administrative costs. Stellaractive’s management fees are separate.
- Social media management: If Stellaractive manages your social media accounts, you agree to provide timely access to the necessary platforms and any content approval required. We are not responsible for account suspensions or penalties imposed by social media platforms due to policy violations.
- Platform changes and updates: Social media and digital advertising platforms frequently update their policies, algorithms, and security requirements. These changes may impact login access, image sizing, integration settings, or authorization rules, potentially requiring troubleshooting or adjustments. Any work needed to restore functionality, update assets, or re-establish platform connections due to these changes will be billed separately.
- Client-provided materials: You are responsible for ensuring that all content, images, and materials provided for marketing, SEO, or social media comply with copyright laws.
- Community engagement: While we can manage post scheduling and engagement strategies, direct interactions, including responding to customer inquiries and messages, may require additional coordination or client involvement.
Hosting, Website Care & Accessibility Terms
For clients who enroll in our Website Care Plan:
- Website Care Plan services include hosting, updates to plugins and software, plugin licenses, daily backups, and security monitoring.
- Clients may not install or modify plugins without approval to maintain security and functionality.
- If you cancel your Website Care Plan, you are responsible for coordinating their own hosting transfer and plugin license activation. Stellaractive may provide limited technical support for offboarding upon request, billed at standard support rates. Full administrative access may be required to complete the transition. Stellaractive-managed plugin license keys and API credentials will be removed from your website on the final day of your active plan. If you discontinue service without notice, Stellaractive reserves the right to revoke or deactivate all applicable licenses and keys remotely as soon as we become aware of the departure.
- We do not guarantee full compliance with any specific legal website accessibility requirements (such as ADA or WCAG) unless explicitly stated in a service agreement. Stellaractive can implement accessibility features as part of a project or ongoing service. However, any additional work required to meet accessibility standards will be billed separately.
- Website content: Clients are responsible for the content displayed on their website, including text, images, and compliance with legal requirements.
Data Privacy & Security
- Stellaractive does not sell, share, or distribute client data. Any data collected is used solely for service fulfillment and internal business operations.
- Clients are responsible for protecting sensitive login credentials and personal data stored within their website or third-party services.
- While Stellaractive follows security best practices, we are not liable for data breaches caused by client negligence, third-party vulnerabilities, or force majeure events.
Third-Party Services & Integrations
- Stellaractive may partner with trusted third-party service providers (e.g., hosting providers, payment gateways, analytics platforms) to support your website and marketing initiatives.
- We are not responsible for disruptions, failures, or breaches caused by third-party services.
- Any troubleshooting or reconfiguration required due to third-party service changes or failures will be billed separately.
Copyright & Intellectual Property
- Clients retain ownership of all text, images, and other media they provide for use on their website or marketing materials.
- Any custom design, code, or creative work developed by Stellaractive remains the intellectual property of Stellaractive until full payment has been received.
- If Stellaractive licenses third-party software, plugins, or stock assets on behalf of the client, those licenses are non-transferable, and the client will need to obtain their own license if service is discontinued.
- Stellaractive is not responsible for copyright violations resulting from client-provided content. Clients are responsible for ensuring they have the rights to all materials submitted for use.
- The Stellaractive website and its contents, including text, images, and branding, are protected by copyright law.
Termination, Refunds & Legal Protections
- Stellaractive reserves the right to suspend or terminate services if a client engages in abusive behavior, violates legal regulations, or fails to provide necessary information required to fulfill the contracted work.
- All payments made to Stellaractive are non-refundable. Any disputes regarding billing must be raised within 15 days of the invoice date.
- Stellaractive is not liable for service interruptions due to events beyond our control, including but not limited to acts of nature, government regulations, or widespread infrastructure failures.
- The client agrees to indemnify and hold Stellaractive harmless from any claims, damages, or legal fees arising from their use of our services.
- Any disputes will be resolved under the laws of the State of Oregon.
